1. Acceptance of Terms

By accessing or using the services provided by ParaHealth, Inc. ("ParaHealth," "we," "us," or "our"), including our prior authorization platform, website, APIs, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use our Services.

2. Description of Services

ParaHealth provides an AI-powered prior authorization platform designed for healthcare providers, pharmacies, and payers. Our Services include clinical intelligence tools, policy matching, form completion, submission tracking, and related workflow automation. Our Services are intended to assist healthcare professionals and are not a substitute for professional medical judgment. All clinical decisions remain the responsibility of licensed healthcare providers.

3. Accounts and Access

Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Authorized Users

Account administrators may grant access to additional users within their organization. Each user must have their own credentials. Sharing login credentials is prohibited.

Account Security

You must notify us immediately at security@parahealth.ai if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized use of your credentials.

4. Acceptable Use

You agree not to:
  • Use the Services for any unlawful purpose or in violation of applicable regulations
  • Submit false, misleading, or fraudulent information through the platform
  • Attempt to gain unauthorized access to any part of the Services or related systems
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to transmit malware, viruses, or other harmful code
  • Resell, sublicense, or redistribute the Services without our written consent
  • Use the Services in a manner that could impair performance or interfere with other users
  • Use automated tools (bots, scrapers) to access the Services without our prior written approval

5. PHI and HIPAA Compliance

To the extent that you are a covered entity or business associate under HIPAA and submit Protected Health Information (PHI) through our Services, our use of such PHI is governed by a separate Business Associate Agreement (BAA) between you and ParaHealth. You represent and warrant that you have obtained all necessary consents and authorizations required under applicable law before submitting PHI to our platform. You are responsible for ensuring that your use of the Services complies with HIPAA and all other applicable healthcare regulations. If you require a BAA, please contact us at security@parahealth.ai before submitting any PHI.

6. Intellectual Property

All rights, title, and interest in the Services, including software, algorithms, designs, documentation, and trademarks, are and remain the property of ParaHealth. These Terms do not grant you any rights to our intellectual property except for the limited right to use the Services as permitted herein. You retain ownership of any data you submit to the Services. By submitting data, you grant us a limited license to use it solely for the purpose of providing and improving the Services, subject to our Privacy Policy and any applicable BAA.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ParaHealth does not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not guarantee the accuracy of AI-generated outputs. All clinical decisions must be reviewed and validated by qualified healthcare professionals before action is taken. Our platform is a clinical decision support tool, not a medical device. It is not intended to replace professional medical judgment.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARAHEALTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PARAHEALTH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless ParaHealth and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any applicable law or regulation.

10. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the Services ceases immediately. We will handle any remaining data in accordance with our Privacy Policy, applicable BAA, and legal retention requirements. Provisions that by their nature should survive termination will continue in effect.

11. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware.

13. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any applicable BAA, constitute the entire agreement between you and ParaHealth regarding the Services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
